Introduction
Thank you for using Holomir and the products, services, and features we make available as part of our platform (collectively, the “Service”).
Our Service
The Service allows you to discover, watch, share, and sell independent films and related content, and provides a forum for people to connect, inform, and inspire others. We also provide tools to help creators distribute and monetize their work through purchases, rentals, and memberships where available.
Your Service Provider
The entity providing the Service is Holomir, a company registered in the United States (referred to as “we”, “us”, or “our” for the purposes of these Terms).
The Agreement includes our Community Guidelines, Paid Service Terms, and Paid Service Usage Rules, where applicable.
Age Requirements
You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent or guardian’s permission.
Permission by Parent or Guardian
If you are a parent or legal guardian of a user under the age of 18, by allowing your child to use the Service, you are subject to these Terms and responsible for your child’s activity.
Businesses
If you are using the Service on behalf of a company or organization, you represent that you have authority to act on behalf of that entity and that the entity accepts these Terms.
Accounts
Some features require a Holomir account. To protect your account, keep your password confidential and notify us of any unauthorized use.
Content on the Service
The Service includes videos, audio, graphics, photos, text, branding, interactive features, software, metrics, and other materials (“Content”). Content is the responsibility of the person or entity that provides it. Holomir is under no obligation to host or serve Content. If you believe Content violates these Terms or the law, you can report it.
Purchases and Monetization
Holomir may offer ways to purchase, rent, subscribe to, or otherwise gain access to Content. Creators may monetize Content in accordance with program rules where available. Pricing, taxes, eligibility, and availability may vary by region and are subject to change.
Purchases, memberships, and rentals are governed by our Paid Service Terms and Paid Service Usage Rules.
Permissions and Restrictions
You may access and use the Service as made available to you, as long as you comply with the Agreement and applicable law. You may view Content for your personal, non-commercial use unless otherwise authorized through a purchase, license, or creator program. You are not allowed to:
Uploading Content
If you upload Content, you grant Holomir a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, display, and perform that Content in connection with the Service and Holomir’s (and its successors’ and affiliates’) business, including for the purposes of promoting and redistributing part or all of the Service in any media formats and through any media channels. The license ends when your Content is removed from the Service, except for reasonable archival, backup, or operational copies.
Rights and Responsibilities
You represent and warrant that you have all necessary rights to the Content you upload and that your Content does not infringe any third-party rights or violate the law. You agree not to upload anything unlawful, defamatory, harassing, hateful, harmful, deceptive, or otherwise objectionable, or that violates these Terms.
Copyright Protection
If you believe your copyright has been infringed on the Service, please submit a notice consistent with applicable law. For more information, see our DMCA page. We may terminate accounts of repeat infringers in appropriate circumstances.
Terminations by You
You may stop using the Service at any time and you may delete your account subject to our processes.
Terminations and Suspensions by Holomir
We may suspend or terminate your account or access to all or part of the Service if you materially or repeatedly breach the Agreement, if required to comply with a legal requirement or court order, or if we reasonably believe that your conduct creates (or could create) liability or harm to any user, third party, Holomir, or our affiliates.
Notice
Where practicable, we will notify you of the reason for suspension or termination unless doing so would violate the law, compromise an investigation, or risk harm to users, third parties, or the Service.
Downloadable Software
Where the Service requires or includes downloadable software, Holomir grants you a personal, worldwide, royalty-free, non-assignable, and non-exclusive license to use such software solely to use and enjoy the Service as provided by Holomir, in the manner permitted by these Terms. You may not copy, modify, distribute, sell, or lease any part of the software, or reverse engineer or attempt to extract the source code, unless laws prohibit these restrictions or you have our written permission.
Open Source
Some software used in the Service may be offered under an open source license that we make available to you. Provisions in an open source license may expressly override some of these Terms.
Privacy
Our Privacy Policy explains how we treat your personal data and protect your privacy when you use the Service.
Warranty Disclaimer
OTHER THAN AS EXPRESSLY STATED IN THESE TERMS OR AS REQUIRED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND HOLOMIR MAKES NO SPECIFIC COMMITMENTS OR WARRANTIES ABOUT THE SERVICE, INCLUDING THE CONTENT PROVIDED THROUGH THE SERVICE, ITS FEATURES, ACCURACY, RELIABILITY, AVAILABILITY, OR ABILITY TO MEET YOUR NEEDS, OR THAT ANY CONTENT YOU SUBMIT WILL BE ACCESSIBLE.
Limitation of Liability
EXCEPT AS REQUIRED BY APPLICABLE LAW, HOLOMIR AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE RESPONSIBLE FOR LOST PROFITS, REVENUES, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS; LOSS OR CORRUPTION OF DATA; INDIRECT OR CONSEQUENTIAL LOSS; PUNITIVE DAMAGES; OR DAMAGES CAUSED BY: (1) ERRORS OR INACCURACIES ON THE SERVICE; (2) PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR USE OF THE SERVICE; (3) ANY UNAUTHORIZED ACCESS TO OR USE OF THE SERVICE; (4) ANY INTERRUPTION OR CESSATION OF THE SERVICE; (5) ANY VIRUSES OR MALICIOUS CODE TRANSMITTED TO OR THROUGH THE SERVICE BY ANY THIRD PARTY; (6) ANY CONTENT; AND/OR (7) THE REMOVAL OR UNAVAILABILITY OF ANY CONTENT. THIS APPLIES REGARDLESS OF THE LEGAL THEORY ASSERTED.
HOLOMIR AND ITS AFFILIATES’ TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF: (A) THE AMOUNT OF REVENUE THAT HOLOMIR HAS PAID TO YOU FROM YOUR USE OF THE SERVICE IN THE 12 MONTHS BEFORE THE DATE OF YOUR WRITTEN NOTICE OF THE CLAIM; AND (B) USD $500.
Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Holomir and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including reasonable attorneys’ fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third party right; or (iv) any claim that your Content caused damage to a third party. This obligation survives termination.
Third-Party Links
The Service may contain links to third-party websites and services not owned or controlled by Holomir. We are not responsible for such websites and services. We suggest you read the terms and privacy policy of each third party site and service you visit.
Changes to these Terms
We may change these Terms to reflect updates to the Service or how we do business, for legal, regulatory, or security reasons, or to prevent abuse or harm. If we materially change these Terms, we’ll provide reasonable advance notice and an opportunity to review the changes, except when launching a new product or feature or in urgent situations. If you don’t agree to the new terms, you should remove your Content and stop using the Service.
Continuation
If your use of the Service ends, the following will continue to apply: “Other Legal Terms,” “About this Agreement,” and the licenses granted by you will continue as described in “Your Content and Conduct.”
Severance
If any term is not enforceable, the remaining terms will not be affected.
No Waiver
If you fail to comply with these Terms and we do not take immediate action, we are not waiving our rights to take action in the future.
Governing Law
All claims arising out of or relating to these Terms or the Service will be governed by the laws of the State of California, USA, except its conflict of laws rules, and will be litigated exclusively in the federal or state courts located in Santa Clara County, California, USA. You and Holomir consent to personal jurisdiction in those courts.
Limitation on Legal Action
ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
